إذا كان العقد باطلاً أو كان قابلاً للإبطال وتقرر إبطاله ،فإنه يعتبر معدوماً أمام القانون ولا ينتج من ثم أية آثار قانونية ،ويرتد انعدامه إلى حين إبرامه بحيث تزول جميع الآثار التي رتبها، وهوما يعرف أن للبطلان أثر رجعي. لا يقتصر الأثر الرجعي على العاقدين ،بل يظهر كذلك في مواجهة الغير فالتصرف الباطل لا ينتج أية أثار. ومع ذلك قد ينتج العقد الباطل ،استثناءً على المبادئ العامة في أثر البطلان ،أثاره الأصلية وهي ذات الآثار التي ينتجها العقد الصحيح ،بالنسبة للغير حسن النية ،الذي اعتمد على صحته ،ذلك أن العقد الباطل ينشئ مظهراً خداعاً يؤدي إلى الإضرار بالغير الذي يطمئن إليه. لذلك عمد المشرع وكذلك القضاء ،أحياناً إلى تخفيف مضار البطلان بأن حفظ في مواجهة الغير الآثار الأصلية للعقد رغم بطلانه.

If the contract is void or voidable and decides to annul it, it is considered to be absent from the law and therefore does not produce any legal effects, and the absence thereof returns until it is concluded so that all the effects that have been arranged are eliminated and it is known that the invalidity has retroactive effect. The reaction is not limited to the two senses, but it also appears in the face of others. False behavior does not produce any effects. However, an invalid contract, an exception to the general principles in the effect of invalidity, may produce its original effects, which have the effects of the right contract, for the other good-faiths, who have relied on its validity. The false contract creates a deceptive appearance that causes harm to the other who reassures it. Therefore, the legislator, as well as the judiciary, sometimes mitigates the disadvantages of invalidity by preserving in the face of others the original effects of the contract despite its invalidity.
