يعد عضو شركة المساهمة مساهم فيها أي مالكا لسهم فأكثر من الأسهم المكونة لرأس مالها: وهذا السهم يمنحه بعض الحقوق التي نص عليها القانون والنظام الأساسي: ويكتسب صفة مساهم بمجرد اكتتابه باسهم الشركة سواء اكتتب بها ابتداء أو اكتتب بها لاحقا عند زيادة رأس مالها : أو أن تكون ملكية الأسهم قد آلت إليه عن طريق الميراث أو البيع : فالمساهم يجب عليه أن يلتزم بهذه العلاقة تجاه الشركة : وأن يحرص على مصلحة الشركة التي يعد شريكا فيها: ويتمتع بعدد من الحقوق التي اكتسبها بحكم القانون: وأن من أهم هذه الحقوق هي حقه في البقاء في الشركة ولا يجوز إبعاده منها: طالما أنه أوفى بالتزاماته تجاهها : وتعتبر الجمعية العامة هي السلطة العليا في شركة المساهمة : وهى صاحبة الاختصاص باتخاذ جميع القرارات المتعلقة في القضايا الجوهرية في الشركة التي تتجاوز سلطات مجلس الإدارة
