تناولت في هذه الرسالة موضوع الرقابة الخارجية لحماية المساهمين في شركات المساهمة، تلك الرقابة التي تتمثل في رقابة الهيئة العامة للرقابة المالية وذلك من خلال مراقبتها لتطبيق مبدأ الإفصاح والشفافية وتوفير المعلومات ومراقبتها لتداول الأوراق المالية داخل البورصة، وتناولنا أيضا دور الهيئة في تسوية منازعات سوق الأوراق المالية سواء من خلال مكتب التظلمات أو من خلال التصالح عن هذه المخالفات، وتناولنا أيضا دور مراقب الحسابات في حماية المساهمين في شركات المساهمة من خلال استعراض لأهم حقوقه وواجباته وطبيعة وظيفته داخل الشركة وصور الجرائم التي تقع منه أثناء ممارسته لدوره
الرقابي داخل الشركة

The primary goal of this thesis is to present ways of the external supervision to protect shareholders in joint stock companies, such supervision is represented in the Egyptian Financial Supervisory Authority through monitoring corporations to assure firms implementation of disclosure and transparency principle besides, providing all needed information to the public also, regulating and supervising non-banking financial markets to maintain efficiency in the Egyptian Stock Market. Moreover, the EFSA has role in settling financial market disputes either through the appeals offices or through reconciliation.
In addition, the thesis also presented the auditor role in
protecting the market participants by showing his rights,
duties and the nature of his job. Finally sample of the crimes
that the auditor might commit while doing his regulatory
work inside the corporation is presented
