| Summary, etc. | بينت في هذه الرسالة النظام القانوني لعملية تقسيم الشركة خلال فترة وجودها، إلى شركتين أو أكثر، وسواء أكان التقسيم يؤدي إلى إنقضاء الشخصية الإعتبارية للشركة محل التقسيم أم تستمر بكيانها ونشاطها، مع توضيح خصائص التقسيم وتأثيره على العقود المبرمة سلفا، ومدى إنقضائها أو إستمرارها للمحافظة على الطابع العقدي وحقوق العمال والموظفين، وأقرار مبدا انتقال الذمة المالية للشركة محل التقسيم إلى غيره فيما لها من حقوق وما عليها من التزامات مالية. غير أنه قد يطرأ على عقد الشركة ما يؤدي إلى بطلانه مما يترتب عليه ضرورة مراعاة ذلك، لأنه ليس من القانوني أن تستمر عملية تقسيم<br/>الشركة مع ما صاحبها من بطلان ينال منها. |

| Summary, etc. | In this letter, I explained the legal system for the process<br/>of dividing a company during its existence, into two or more<br/>companies, and whether the division leads to the expiration of<br/>the legal personality of the company subject to the division or<br/>whether it continues its entity and activity, while clarifying the<br/>characteristics of the division and its effect on previously<br/>concluded contracts, and the extent of its expiration or its<br/>continuation of preservation. On the contractual nature and<br/>the rights of workers and employees, and approving the<br/>principle of transferring the financial liability of the company<br/>subject to division to others in terms of its rights and financial<br/>obligations. However, something may happen to the company<br/>contract that leads to its invalidation, which entails the<br/>necessity of taking this into account, because it is not legal for<br/>the process of dividing the company to continue with the<br/>accompanying invalidity affecting it |
