تحتل الأسواق المالية أهمية قصوى بالمقارنة بباقي الأسواق قاطبة؛ نظراً لما تمثله وظائفها ودورها في الاقتصاد القومي للبلاد. حيث تعتبر الأسواق المالية مرآة عاكسة للنظم الاقتصادية والمالية للدولة. وتؤثر بعمق على التنمية الاقتصادية من خلال: تعبئة المدخرات وتوزيعها على الاستثمارات هذا من جهة، ومن جهة أخري من خلال: جذب رؤوس الأموال الأجنبية. فهذه الأسواق لها الدور الرئيس في تحقيق زيادة الاستثمارات، ودفع عجلة التنمية الاقتصادية. ويأتي على رأس الأسواق المالية - بل وأهمها - سوق الأوراق المالية أو البورصة نظراً لدورها الحيوي والمهم في تشابك القطاعات الاقتصادية المختلفة، وكونها مصدراً ورافداً رئيساً من مصادر التمويل متوسط وطويل الأجل لعملية التنمية الاقتصادية، لأنها تعتبر آلية مهمة مستمرة في نشأة التدفقات النقدية. ويتمثل النشاط الرئيس لبورصات الأوراق المالية في تداول الأوراق المالية، ولاشك أن هذا النشاط يمس مصالح المستثمرين بصفة عامة، والمستثمرين في البورصة على وجه الخصوص (ولذلك اهتم المشرعون - في جل إن لم يكن كل الدول - بأمر تنظيم تلك السوق). فسوق الأوراق المالية تتميز بأدواتها الخاصة، والتي تعتمد في مجملها على التحليلات والتنبؤات والتوقعات، وربما الشائعات التي تؤثر في أداء الأسواق التجارية بشكل عام، وبورصات الأوراق المالية بشكل خاص، ومن هنا كان الخوف من حدوث ممارسات غير مشروعة في بورصة الأوراق المالية، خاصة بعد الأزمات التي مرت بها عدد من البورصات العالمية عبر العقود الماضية مبرراً. و تلعب المعلومات دوراً كبيراً في التأثير في أسعار الأوراق المالية المدرجة فيها؛ لذلك اهتم المشرعون - في جل إن لم يكن كل الدول - بأمر تنظيم تداول المعلومات، والإفصاح عنها على النحو الذي يحقق الشفافية في تداول تلك المعلومات، واستغلالها بالشكل الصحيح على النحو الذي يحقق المساواة في استغلالها بين جميع الأطراف، ويمنع أية تعاملات أو ممارسات تنطوي على استغلال تلك المعلومات بصورة غير مشروعة على النحو الذي يلحق ضرراً للآخرين. |

Financial markets are of utmost importance compared to all other markets. Due to its functions and role in the country's national economy. The financial markets are considered a reflective mirror of the country's economic and financial systems. It deeply affects economic development through: mobilizing savings and distributing them to investments on the one hand, and on the other hand through: attracting foreign capital. These markets have a major role in achieving increased investments and advancing economic development. At the top of the financial markets - and even the most important of them - is the stock market or the stock market due to its vital and important role in intertwining the various economic sectors, and being a major source and tributary of medium- and long-term financing for the economic development process, because it is considered an important ongoing mechanism in the emergence of cash flows. The main activity of stock exchanges is the trading of securities, and there is no doubt that this activity affects the interests of investors in general, and investors in the stock market in particular (and therefore legislators - in most, if not all countries - were interested in regulating that market). The stock market is characterized by its own tools, which rely in their entirety on analyses, predictions, expectations, and perhaps rumors that affect the performance of commercial markets in general, and stock exchanges in particular. Hence the fear of illegal practices occurring in the stock exchange, especially after crises. Which a number of global stock exchanges have gone through over the past decades with justification. Information plays a major role in influencing the prices of securities listed therein. Therefore, legislators - in most, if not all countries - were concerned with regulating the circulation of information, disclosing it in a way that achieves transparency in the circulation of that information, and exploiting it properly in a way that achieves equality in its exploitation among all parties, and preventing any dealings or practices that involve Exploiting this information illegally in a way that causes harm to others. |
