تناولنا في موضوع الدراسة الرقابة على أعضاء مجلس الإدارة في شركات المساهمة في القانون المصري، والنظام السعودي مجلس الإدارة وتشكيله وسلطاته والقيود الواردة عليه في فيصل ي تمهيدي، وتطرقنا إلي الرقابة الداخلية على هذا المجلس الت هي في الأصل من اختصاصات الجمعية العامة - ويقوم به ذه الرقابة المساهمون من خلال حقهم في الاطلاع وحقهم في الإعلام بأمور الشركة أو من ينوب عنهم، وه و مراقب الحسابات، وذلك في الفصل الأول ثم بعد ذلك الرقابة الخارجية على الشركة - ابتداءً بالتفتيش على الشركات وانتهاء بالرقابة من قبل الأجهزة المختصة في الفصل الثاني. |
