| Summary, etc. | فى هذه الدراسة: ناقشنا تعريف الشركات القابضة و الشركات الفرعية و كيف تتميز عن الأشكال القانونية المماثلة: و كذلك كيفية تشكيلها؛ بين بعضها البعض: و إدارتها ماليا. ما هو الشكل المناسب الذى يجب على الشركة عقده. ناقشنا الغرض الأساسى من هذه الشركة لتأسيس شركة فرعية و التحكم فيها بالإضافة إلى الوسائل المتبعة لتحقيق فوائدها و مصالحها. أظهرنا الاستقلال القانونى لكل شركة؛ الشركات القابضة و الشركات الفرعية: و التى تبين أن كل نوع يحافظ على شخصيته و ذمة مالية: على الرغم من السيطرة التى تقدمها الشركة القابضة على مجلس إدارة الشركة التابعة التى تتحكم فى قراراتها. دراسة مسؤولية الشركة الفرعية و الالتزامات الناتجة عنها تجاه الطرف الثالث أو أى شركة موثوقة أخرى مسؤولة عن هذه الالتزامات. على الرغم من الاستقلالية القانونية لكل من الشركات القابضة و الشركات التابعة الأخرى: فإن الشركة القابضة هى المحرك الرئيسى لهذه الشركات الفرعية لاتخاذ القرارات فى جميع أنحاء مجلس إدارتها الذى يتحكم فى الشركات التابعة الأخرى. و من ناحية أخرى: فإن معظم التشريعات لا تنص صراحة على مسؤولية الشركة القابضة عن التزامها بشركاتها الفرعية: كما توجد قيود قد تظهر و تسمح للشركات القابضة و الشركات المتعددة الجنسيات الأخرى بالانسحاب من التزامات شركاتها التابعة. و نتيجة لذلك: وجدنا بعض الطرق لتدمير هذه العقبات. |

| Summary, etc. | In this study, we discussed the definition of holding and subsidiary companies and how they are distinguished than the similar legal forms, as well as how they are formed; in between each other, and administrated financially. What is the convenient form that hold company should take. We discussed the essential purpose of such company to establish subsidiary and to control it as well with the followed means to fulfillment its benefits and interests.<br/>We demonstrated the legal independence of each company; Holding and subsidiary companies, showing that each type maintains its personality and has its financial edema, despite of the control is submitted by holding company over subsidiary's board council controlling its decisions.<br/>Studying the subsidiary's responsibility and its resulted commitments towards the third party or any other reliable company responsible of these obligations. Despite the legal independence of both the holding and other subsidiaries, the holding company is the key engine of these subsidiaries to take decisions throughout its board of directors who control over the other subsidiary's. On the other hand, most legalizations do not explicitly state the responsibility of the hold company to be committed to its subsidiary companies as well as there are constraints that may show up and allow holding companies and other multinational corporations to withdraw of their subsidiaries' obligations. As a consequence, we found some ways to demolishing these obstacles. |
