تناولت هذه الدراسة العلاقة بين الالتزام بالسرية الخاص بالمحافظة على أسرار العمل: والالتزام بعدم المنافسة المتعلق بعدم استغلال أسرار العمل أو استقطاب عملاء صاحب العمل. وقسمت الدراسة "لفصل تمهيدي" خصص لدراسة القواعد العامة التي تحكم الالتزام بالسرية عموماً: وبابين رئيسيين خصص الأول لنطاق الالتزام بالسرية: والثاني لبيان الحماية القانونية المقررة له. و خلصت الدراسة إلى وجود العديد من الأحكام المشتركة بين الالتزام بالسرية والالتزام بعدم المنافسة: إلا أن ذلك لا يجعل الالتزامين وجهين لعملة واحدة؛ بل أن لكل التزام نطاق خاص به: ووجود أحدهما لا يغني عن وجود الآخر: إذ يتعلق الأول بكتمان أسرار العمل عن الغير فقط: ولا يمنع العامل من استغلال أسرار العمل ومنافسة صاحب العمل بعد انتهاء العقد: سواء بصفة مستقلة بإقامة مشروع منافس أو بصفة تبعية بالاشتراك في مشروع آخر يقوم بمنافسة صاحب العمل بوصفه شريكاً أو عاملاً فيه: أما الثاني فيتعلق بعدم منافسة العامل لصاحب العمل بأي شكل من الأشكال: وذلك في إطار التشريعين المصري والليبي |

This thesis studies the relationship between employment confidentiality agreements and non-competition obligations pertaining to the prohibition of using trade secrets by employees after the cessation of employment contracts. The thesis is divided into an introductory chapter and two main sections. The introductory chapter deals with the general rules of the confidentiality obligation. The first section discusses the scope of confidentiality obligations while the second section demonstrates the legal protection provided for these obligations.<br/>The thesis found multiple common grounds between the employees’ obligations of non-disclosure under both confidentiality agreements and non-competition clauses. However, the two sources of obligation are not identical. The main difference is that employee confidentiality agreements relate exclusively to trade secrets and do not prevent an employee from competing against his\ her former employer. This is in contrast to non-competition clauses which prevent the employees from competing with their former employer in any manner whatsoever in particular under the Libyan and Egyptian legislation.<br/> |
