| Summary, etc. | تعد عمليات الاستحواذ جزءًا أساسيًا من النشاط الاقتصادي في الأسواق المالية. يهدف المستحوذ من خلالها إلى تحقيق السيطرة الفعلية على الشركة المستهدفة. الأمر الذي يترتب عليه اتخاذه لقرارات لإعادة الهيكل المالي والإداري للشركة، والتي غالباً ما يهدف المستحوذ من ورائها تحقيق مصلحته؛ والتي قد تتعارض مع أقلية المساهمين، وهذه نتيجة طبيعية لتغيير شخص المسيطر على الشركة المستحوذ عليها ؛ والذي يستتبع معه تغيير في إدارة الشركة.<br/>لذلك فإن أقلية المساهمين الباقين في الشركة، والذين لم يوافقوا على قرار البيع؛ يكونون بحاجة إلى حماية في ضوء انتقال الملكية والسيطرة إلى شخص جاء رغماً عن إرادتهم ودون رضاهم، وذلك بتوفير ضمانات قانونية تمكن هؤلاء المساهمين ممارسة حقوقهم بشكل عادل أو ضمان حقهم في الانسحاب من الشركة بشروط منصفة.<br/>ومع ذلك، يجب أن يكون هنالك حدود لحماية الأقلية، يجب ألا تكون هذه الحماية على حساب استقرار الشركة أو قدرتها على النمو والتطور. فالمبالغة في حماية الأقلية قد تؤدي إلى عرقلة عمليات الاستحواذ وإعادة الهيكلة التي قد تكون ضرورية لتحسين أداء الشركة أو تحقيق أهدافها الاستراتيجية. ويكمن التحدي في الوصول إلى توازن بين حماية حقوق المساهمين الأقلية وبين تطلعات الشركة نحو التطور والتحسين المستمر . |

| Summary, etc. | Corporate takeovers represent a fundamental component of economic activity in financial markets. Through such transactions, the acquiring entity seeks to obtain de facto control over the target company. This necessitates decisions concerning the financial and administrative restructuring of the company decisions typically aligned with the acquirer's interests, which may conflict with those of minority shareholders. This conflict arises inherently from the change in the controlling party and consequent management transition.<br/>Consequently, the minority shareholders who remain in the company and did not consent to the sale decision require protection. This need arises in light of the transfer of ownership and control to an entity imposed upon them without their approval. Legal safeguards must therefore be provided to enable these shareholders to exercise their rights equitably or to ensure their ability to exit the company under fair terms.<br/>Nevertheless, minority protection must observe defined boundaries. Safeguards should not undermine corporate stability or developmental capacity. Excessive protection risks impeding essential takeovers and restructurings required for performance enhancement or strategic objectives. The central challenge thus resides in balancing the protection of minority shareholders' rights against the company's developmental imperatives |
