N2  - إن التطور التقني والتكنولوجي أفرز نظاماً جديداً للتعاقد عن بعد بين الأفراد يعرف بالعقود الذكية (Smart Contract)، والتي تمثل أحد تطبيقات تقنية سلاسل الكتل (Blockchain) وتعتبر هذه التقنيات جيلاً متطوراً ومستحدثاً عن العقود .)Electronic Contracts( الإلكترونية
ومن هنا جاءت أهمية هذه الدراسة، والتي تناولت الجانب الفني للعقد الذكي من خلال رؤية قانونية تهدف إلى تحديد مفهومه وخصائصه والبيئة الرقمية المميزة له.
وركزت الدراسة على خصوصية تكوين العقد الذكي وطبيعته التي تميزه عن العقد التقليدي، من خلال بحث المواضيع المتعلقة بالإبرام والتنفيذ والإثبات والانقضاء، وعرض الإشكاليات التي تتعلق بتلك المواضيع، كالتعبير عن الإرادة وصحتها، والأهلية القانونية للمتعاقدين، ودور الكتابة الإلكترونية والتوقيع الإلكتروني في إثبات هذه العقود، وطريقة انتهائها وزوالها، وفي النهاية تم التطرق لمستقبل العقود الذكية والتقنين التشريعي لها. ويمكن القول إن هذه العقود تتجه نحو الانتشار المتسارع في ظل التقنيات التي تعمل من خلالها.
وتوصلت الدراسة إلى العديد من النتائج، منها القصور التشريعي بشأن بعض التعاملات التكنولوجية الحديثة، وعدم وجود تطور قانوني يواكب التطور التكنولوجي الرقمي، الأمر الذي أدى إلى فراغ تشريعي للتعامل مع العقود الذكية، أو ما يمكن تسميته بالفراغ التشريعي الرقمي.
لذا، أوصت بسرعة البدء في وضع تشريع موحد لتنظيم العقود الذكية، وجميع تطبيقات تقنية سلسلة الكتل، بالإضافة إلى تطوير البنية التحتية التكنولوجية للاستعداد ومواكبة التحول الرقمي; The technological and technical evolution has produced a new system for remote contracting among individuals known as Smart Contracts, which represent one of the applications of Blockchain technology. These technologies are considered an advanced and modern generation compared to Electronic Contracts.
Hence, the importance of this study arises, which addressed the technical aspect of the smart contract by a legal vision aimed at defining its concept, characteristics, and its distinctive digital environment. The study focused on the uniqueness of forming a smart contract and its nature that distinguishes it from traditional contracts by exploring topics related to its conclusion, execution, proof, and termination. It presented issues related to these topics, such as the expression and validity of intent, the legal capacity of the contracting parties, the role of electronic writing and electronic signatures in proving these contracts, and the manner of their termination and cessation. Finally, the study touched on the future of smart contracts and their legislative codification. It can be said that these contracts are moving towards rapid proliferation given the technologies through which they operate.
The study identifies legislative shortcomings concerning some modern technological transactions and the lack of legal development keeping pace with digital technological advancements, leading to legislative vacuum in dealing with Smart Contracts, also termed the digital legislative gap.
Therefore, the study recommends the prompt establishment of unified legislation to regulate Smart Contracts and all applications of Blockchain technology. Also, it emphasizes the development of technological infrastructure to be prepared for and keep pace with the digital transformation
