N2  - يعتبر حقى الأرباح والتصويت فى شركات المساهمة من أهم الحقوق الأساسية للمساهم فحق التصويت من أهم الحقوق الأساسية للمساهم وما كل الحقوق الأخرى الا خدمة لهذا الحق فهو يعتبر الهدف الأساسى للمساهم والغرض من مساهمته ومن خلال هذا البحث حاولت تسليط الضوء على هذا الحق والمسلك الذى سلكه كل من المشرعين المصرى والليبى ونلاحظ ان هناك قصور الى حد ما فى تنظيم هذا الحق اما بالنسبة لحق التصويت فهو ايضا اهم الحقوق الادارية للمساهم فى شركات المساهمةوهو مكفول له; The rights of dividends and voting in joint stock companies is the most important, the voting rights most important fundamental rights of shareholders and all other rights only service for this right, it is considered a primary goal for the shareholder, the purpose of its contribution, and through this research attempted to shed light on the right and the way was taken by both of the Egyptian and Libyan legislators, we note that there are limitations in some extent on this right.
As for the right to vote is also the most important administrative rights to the shareholder in the joint stock companies, and also clear through research that there is a clear failure to legislative, and especially in the Libyan legislature, finally of the research findings into a set of conclusions and a set of recommendations
